This is a legal agreement between you, the user, and WEBIFY LIMITED.
Welcome to the User Agreement for Webify Limited (the "Agreement"). This Agreement describes the terms and conditions applicable to your use of our services available under the domain and sub-domains of www.tokunbo.com.ng (the "Site") and the general principles for the websites of our parent, subsidiaries and international affiliates. If you do not agree to be bound by the terms and conditions of this Agreement, do not use the Site or access our services. 
You must read, agree with and accept all of the terms and conditions contained in this Agreement and the Privacy Policy, which include those terms and conditions expressly set out below and those incorporated by reference, before you may become a member of tokunbo.com.ng. We strongly recommend that, as you read this Agreement, you also access and read the information contained in the other pages and websites referred to in this document, as they may contain further terms and conditions that apply to you as a tokunbo.com.ng user. Please note that underlined words and phrases are links to these pages and websites. By accepting this Agreement, you also agree that your use of other Webify limited websites will be governed by the user agreement and privacy policies posted on those websites.
We may amend this Agreement at any time by posting the amended terms on our site. Except as stated below, all amended terms shall automatically be effective 30 days after they are initially posted on our site. This Agreement may not be otherwise amended except in writing signed by you and Webify Limited.

• GENERAL USE PROVISIONS

This site is provided only as a venue for bidders and auction posters. Webify Limited is not involved in the actual transaction between these parties and assumes no control or liability over any issues that may arise as a result of this transaction.

• INTELLECTUAL PROPERTY

All materials provided on this Website, including but not limited to information, documents, products, logos, graphics, images, auctions, and services are the wholly owned and copyrighted work of WEBIFY LIMITED and/or its Third Party Providers. None of the materials posted herein may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means, including but not limited to electronic, mechanical, photocopying, recording, or other means, without the prior express written permission of WEBIFY LIMITED or the appropriate Third Party Provider. You may not "mirror" any materials contained on this Website on any other server or site without WEBIFY LIMITED's prior written consent. In order to register on this site you must provide your true name and a valid email address.

• BIDDING

Bidding on an item indicates your intent to purchase that item and is considered a legally binding contract between yourself and the seller of the item. Bids cannot be cancelled once they are submitted. Upon receiving notification that you are the winning bidder you are obligated to purchase the item or, in the case of a reverse auction, sell the item.

• POSTING

Posting an item in an auction indicates your intent to sell this item to the highest bidder and is irrevocable. In the case of a reverse auction you indicate that you will purchase the item you have requested from the lowest qualified bidder. This intent to purchase is legally binding. Upon completion of the auction it is your responsibility to conclude the sale with the winning bidder.

• POSTING DESCRIPTION

You must describe your item(s) and the terms of sale on the posting page of the site. All posted items must be posted in an appropriate category.

• FEES

You agree to pay all fees incurred from your use of this Website. All fees incurred in connection with this Website are non-refundable.

You agree to pay our transaction commission to us once there is a bid for your posted item irrespective of whether the transaction is concluded or not.

• FRAUD/MANIPULATION

   You agree to the following:

• Do not inflate the price of your item by bidding on the item yourself.
• Do not engage in any fraudulent or illegal activity.
• Do not interfere with other users’ listings or transactions.
• Do not infringe on any third party copyright, trademark, service mark or patent.
• Do not spam (send unsolicited email) to users of this site.

A breach of the above shall entitle Webify Limited and tokunbo.com.ng to discontinue your use of the site or any other sites owned by Webify Limited.

• DENIAL OF SERVICE

WEBIFY LIMITED reserves the right to refuse service to anyone for any reason. This right will be exercised when it becomes evident a user is in some way abusing the system or have engaged in fraudulent activities in connection with the site.

• TERMS OF SERVICE

This comprises the entire agreement between the User and Webify Limited and supersedes all other agreements. By registering and participating as a user you are indicating your consent to be bound by this agreement.

• DISCLAIMER

EXCEPT AS SPECIFIED HEREIN, THE SERVICES ON THIS WEBSITE ARE PROVIDED SOLELY ON AN "AS IS" BASIS. WEBIFY LIMITED HEREBY DISCLAIMS ALL EXPRESS OR IMPLIED REPRESENTATIONS, WARRANTIES, GUARANTEES, AND CONDITIONS, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT THAT SUCH DISCLAIMERS ARE HELD TO BE LEGALLY INVALID IN YOUR JURISDICTION. • LIMITATION OF LIABILITY

WEBIFY LIMITED SHALL NOT BE LIABLE FOR ANY DIRECT OR INDIRECT DAMAGES SUFFERED AS A RESULT OF PURCHASING OR SELLING ITEMS ON THIS WEBSITE. • DISPUTE RESOLUTION

All disputes arising from this agreement shall be settled in the following order:

• A conciliatory meeting of the parties
• Arbitration which proceedings shall be held in Lagos Nigeria
• Court litigation which proceeding shall be held in Lagos Nigeria

Notices to the Webify Limited shall be sent to:

Notices to users of the site shall be sent to the e-mail address provided to Webify Limited, in which case Notice is deemed given 24 Hours after the e-mail is sent; or by registered mail to the address provided to Webify Limited in which case Notice is deemed to be given 3 days after the mail is sent.

• GOVERNING LAW

This agreement shall be governed by the laws of the Federal Republic of Nigeria.
